New York – Alantra has acted as financial advisor to Ethical Naturals, Inc. (“ENI”), a US-based developer and supplier of differentiated, science-backed natural ingredients for the nutraceutical industry, on its strategic partnership with Solabia Group, a global manufacturer of natural and biotechnology-driven active ingredients for the cosmetics, nutraceutical, pharmaceutical, and biotechnology industries, through the acquisition of a majority stake in ENI.

Founded in 2006 and headquartered in California, ENI has established a strong position in the US nutraceutical market through its portfolio of proprietary branded ingredients, including AlphaWave® L-Theanine, GreenGrown® Glucosamine, PureLeaf® Ginkgo, and Cranberex® Cranberry extract. The company combines global sourcing expertise with scientific, analytical, and quality assurance capabilities, serving leading dietary supplement and beverage brands in the US and internationally.

The strategic partnership strengthens Solabia’s nutraceutical ingredients platform and significantly expands its presence in the US market. ENI’s portfolio of science-backed ingredients and established customer relationships complement Solabia’s existing capabilities, creating opportunities for further innovation, commercial development, and international expansion. The transaction also supports Solabia’s strategic focus on cosmetics, nutrition, and life sciences.

As part of the transaction, ENI’s founders will retain a shareholding in the company and continue managing its development alongside Solabia.

Michael Poerschke, Partner at Alantra, commented: “Ethical Naturals has built a differentiated position in the nutraceutical ingredients market, combining a strong portfolio of science-backed products with deep sourcing expertise and a commitment to quality. Solabia’s complementary capabilities and international reach provide a compelling platform for ENI’s next phase of growth. We are pleased to have supported the company in this transaction and look forward to seeing the business continue to develop as part of Solabia Group.”

Joe Downing, Senior Industry Expert at Alantra, commented: “Having watched Ethical Naturals evolve over the past two decades into a leading provider of authentic, high-quality, science-backed botanical ingredients has been truly rewarding. The company has built an exceptional business, and we look forward to seeing it continue to grow and expand its reach with the support of a strong global partner like Solabia.”

This transaction further reinforces Alantra’s track record in the Consumer Goods & Retail sector, particularly in the Consumer Ingredients segment. Recent mandates include advising IFF on its announced sale of a portfolio of botanical extracts, vitamins and minerals, and food enhancement activities to SuanNutra; SK Capital on the acquisition of Brothers International; 21st Century Healthcare on its sale to Grant Avenue Capital; and SK Capital on the sale of Florachem to Tradebe Life Sciences.
